Dear DAMA Member
As you may be aware, the committee that
runs your DAMA meetings is backed by a legal structure with a constitution and
various laws guiding its activities. The
current structure is unwieldy, but was deemed to be the most appropriate at the
time it was set up. We have now found a
more efficient structure to which we wish to transition. This requires that the
membership of DAMA vote on a Special Resolution (this term has meaning within
the relevant legislation) to wind up the existing structure and transfer to
another structure.
We are now asking you to vote on the
Special Resolution:
"That the company change its registration
to registration under the law of the State of
The National Board of DAMA Australia
and the Victorian Branch Committee urges you to vote "YES" to this
resolution. It is also important that as
many members as possible actually vote on this resolution, so that the
transition can be legally valid.
You
can vote in 2 ways - either by attending the next branch meeting and voting in
person (Wed 24th June 2009 @ 5:30pm), or you can vote by proxy, by
completing the attached proxy form and emailing it to richard.kevan@oakton.com.au
The new structure will not change your
local branch in any noticeable way, except that the committee may look less
harassed. We will change from a Company
Limited by Guarantee, set up under Federal law, which has branches in Sydney,
Melbourne and Canberra, to an Incorporated Association, set up under State law,
(in this case the law of Victoria) with the same branches. The original Company was set up from

constitution for the new Association and the processes for transferring all the
assets of the Company, including memberships, to the Association. We expect this to be completed for the next
membership year.
